Agreement and eligibility
These Terms govern your use of the Apex Studio website and your purchase of services from Apex Studio LLC. By submitting an order, approving a scope, or using our services, you agree to these Terms and the applicable proposal, checkout description, or written scope.
You confirm that you are at least 18 and authorized to act for the client or brand purchasing the services.
Services and definitions
Apex is a multi-service creative agency whose core work is advertising creative. Services may include static ad concepts, creative research, messaging and hooks, copy, visual design, AI UGC and other AI video production, product campaign creative, Instagram Reels, Stories, carousels, captions, social content, format adaptations, editing, content calendars, and organized delivery.
Your selected package or written scope controls the exact products or offers, quantities, channels, formats, cadence, price, delivery responsibilities, and special requirements. A listed capability is not included unless it appears in that package or scope.
A static concept is one materially distinct ad idea with its own primary hook, message, and visual direction. Included size adaptations do not count as additional concepts. A hypothesis is one audience, belief, objection, motivation, awareness, or messaging direction being tested across a batch. A primary video is one complete scripted video concept. AI UGC means creator-format advertising made with synthetic or AI-assisted talent or production. An export is one delivered video file; hook, CTA, ratio, caption, or language changes are variations and are not additional concepts unless the scope says otherwise. A social content deliverable is one agreed Reel, Story frame, carousel, image, caption, or other channel-specific asset described in the package or scope. Unless a written scope says otherwise, a carousel includes up to five designed slides.
Client responsibilities
You must provide accurate product information, approved claims, required brand assets, product imagery or footage, access, and timely feedback. You are responsible for confirming that supplied materials and claims may lawfully be used.
Production begins after payment and receipt of the required assets. Missing, incomplete, or late materials may move the delivery date. Product shipping, custom demonstrations, custom avatars, additional languages, and unusual production requirements are included only when stated in writing.
Payments and subscriptions
The current fixed public offers are Validation Sprint at $750 one time; Static Growth System at $1,800 per month; Static Scale System at $3,600 per month; AI UGC Pilot at $900 one time; AI UGC Growth at $2,400 per month; AI Creative Scale at $4,800 per month; Social Foundation at $1,000 per month; Organic Growth at $1,800 per month; Brand Engine at $3,200 per month; and Integrated Creative System at $5,500 per month. The checkout description accepted at purchase controls if a later public price changes.
The Integrated Creative System combines static ads, AI video, and organic social content. Its creative mix is confirmed during onboarding and coordinated around the client’s active campaigns.
Every monthly package is a month-to-month subscription that renews on the billing date until cancelled. Cancellation stops the next renewal and does not refund the current paid period.
Custom engagements may require a proposal, deposit, milestone schedule, or separate payment arrangement. Taxes and payment-processing requirements are handled at checkout where applicable.
Start dates and delivery
Any published delivery window begins after payment, scope confirmation, and receipt of all required assets. Validation Sprint is targeted for a first draft within seven business days, and AI UGC Pilot within eight business days, after those conditions are met.
Recurring plans use the delivery cadence listed in the package. Scheduled batches are deliveries within the current paid cycle, not unlimited production. Custom production timing is confirmed after product and production complexity are reviewed.
Client delays, new requirements, platform outages, or circumstances outside Apex’s reasonable control may require a revised delivery date.
Revisions and scope changes
One revision round means one consolidated set of feedback applied to the concepts in the relevant delivered batch or billing cycle. Feedback should be complete, specific, and supplied through the agreed review process.
Revisions refine work within the approved brief. Entirely new concepts, new products, new audiences, changed claims, replacement scripts, reshoots or regenerations caused by changed direction, and additional variations may require a new scope and fee.
Ownership and usage rights
After full payment, the client may use the final approved deliverables for its own organic and paid marketing, subject to the package, written scope, and any third-party license restrictions disclosed by Apex.
Drafts, rejected directions, working files, internal research methods, templates, prompts, and source files remain with Apex unless the written scope explicitly includes them. Client-supplied trademarks and materials remain the client’s property.
Exclusivity, category restrictions, territory restrictions, and custom licensing must be stated in writing. Apex does not promise exclusivity by default.
AI video and synthetic creator disclosures
AI video may use synthetic or AI-assisted creator footage, voices, images, animation, editing, or related production tools. These assets are creative advertising executions and are not represented by Apex as recordings of real customers, real testimonials, or human creator endorsements.
The client must not present synthetic talent as a real customer or make unsupported testimonial claims. Platform disclosure requirements and legally required labels remain the client’s responsibility unless the written scope assigns that task to Apex.
AI models and third-party media providers may impose license or technical restrictions. Apex will communicate material restrictions known at delivery, but cannot guarantee permanent availability of a specific model, voice, avatar, or generation system.
Portfolio and confidentiality
Apex may display final work only when the applicable scope, campaign arrangement, or client approval permits it. Confidential materials and non-public performance data will not be published without permission.
If confidentiality or an NDA is required, it must be agreed before sensitive materials are shared or production begins.
Approvals and results
The client is responsible for final approval of claims, legal compliance, offers, prices, trademarks, and platform submissions. Apex may refuse misleading, unlawful, or unsupported requests.
Creative performance depends on the offer, media buying, audience, landing page, budget, platform conditions, and other factors outside Apex’s control. Apex does not guarantee approval, reach, conversions, revenue, return on ad spend, or any specific commercial result.
Liability and disputes
To the fullest extent permitted by law, Apex’s total liability arising from a service is limited to the amount paid for the specific service that created the claim. Apex is not liable for indirect, incidental, special, or consequential losses, lost profits, lost data, or advertising-platform decisions.
Before filing a formal claim, both parties agree to make a good-faith effort to resolve the issue directly. These Terms are governed by the laws applicable to Apex Studio LLC, without regard to conflict-of-law rules.
Termination, changes, and contact
Either party may end a month-to-month retainer before the next renewal. Apex may suspend or terminate work for nonpayment, abusive conduct, unlawful requests, material breach, or failure to provide required inputs.
Apex may update these Terms for future purchases. The version accepted at checkout or scope approval continues to govern that purchase unless both parties agree otherwise in writing.

Instagram and social content delivery
Social content services may include strategy, content planning, Reels, Story frames, carousels, static posts, captions, adaptations, content calendars, and organized ready-to-post files only to the extent listed in the selected package or written scope.
Account publishing, scheduling inside the client account, community management, comment or direct-message responses, influencer management, media buying, and support for additional channels are excluded unless a separate written scope expressly includes them. The client remains responsible for account access, final approval, legal compliance, links, claims, disclosures, and publication.
